The Central Botanical Garden and the Dendrology Garden, public legal entities under the Head of the Baku City Executive Power, are being reorganized through transformation into the Central Botanical and Dendrology Garden Limited Liability Company.
Prime Minister Ali Asadov has signed a decision to this effect. The document has been published on the official website of the Cabinet of Ministers.
The decision implements Presidential Decree No. 599 of February 20, 2026, “On improving the activities of a number of state bodies.”
Under the document, the new company’s staff ceiling is set at 230 positions. The powers of the company’s general meeting are divided among the Cabinet of Ministers, the Ministry of Economy and the Baku City Executive Power. Reorganization and liquidation of the company rest with the Cabinet of Ministers subject to the President’s approval, while approval of the charter, setting the amount of charter capital, and consent to establishing branches and subsidiaries are assigned to the Ministry of Economy. Other day-to-day matters under the Civil Code will be handled by the Baku City Executive Power.
The Baku City Executive Power is required to submit proposals on the company’s charter and charter capital to the Ministry of Economy within two months, and to approve the company’s structure, pay system and budget estimate within three months in agreement with the Ministry of Finance. The Ministry of Economy will take the necessary steps for the company’s state registration within three days of the charter’s approval.
At the same time, parts 3, 4 and 8 of Cabinet of Ministers Decision No. 5 of January 7, 2022, which established the two public legal entities, have been repealed.
The decision takes effect on the date the company is registered in accordance with the Law “On State Registration and State Register of Legal Entities.”
